1. Contract structure and acceptance
1.1These Terms are the supplier agreement for the software. A purchase made through Paddle is also subject to Paddle's applicable Buyer Terms and Privacy Notice presented through its checkout or invoice.
1.2By completing checkout, paying a Paddle invoice, using a paid entitlement, or accepting an order that incorporates these Terms, the Customer confirms that it has authority to enter into this agreement.
1.3Drift Watcher is intended primarily for businesses and professionals. Nothing in these Terms limits a right or remedy that cannot lawfully be limited, including any mandatory consumer right that applies to a particular Customer.
2. Product and permitted purpose
2.1Drift Watcher is desktop spectral-monitoring software for reviewing historical scans, watched-folder arrivals, comparisons, investigations, actions, and reports on supported macOS, Windows, and Linux systems.
2.2The software is a diagnostic, review, and evidence-management aid. It does not guarantee product quality, prove causation, validate a calibration, replace professional scientific judgment, or establish regulatory compliance.
2.3Current compatibility information, supported exports, system requirements, and product limitations form part of the product description available on trueband.co.
3. Demonstration and evaluation
3.1trueband may offer a guided demonstration on request. Requesting a demonstration does not create a paid subscription or authorize a charge.
3.2trueband may qualify the Customer's operating system, file format, instrument, reference data, checked data, workflow, and intended decision before scheduling a demonstration or issuing an installer.
3.3A suitable Customer may receive a 30-day installed evaluation under separate evaluation conditions. An evaluation does not automatically convert into a paid subscription.
3.4The Customer must not submit confidential spectra through the public website form. Any exchange of confidential data requires an agreed transfer or local review process.
4. Subscription, price, and renewal
4.1The current public offer is USD 2,000 per designated workstation, billed annually, plus applicable taxes. The quantity shown in the Paddle checkout or invoice is the number of workstation licenses purchased. Separately scoped services are excluded unless stated in an order.
4.2The paid subscription renews automatically every 12 months unless canceled before the renewal date. The Paddle checkout or invoice displays the billing cadence, amount due, and applicable taxes before payment.
4.3trueband will give the Customer at least 30 days' written notice by email before any price change takes effect at renewal. A Customer who does not accept the new price may cancel before the renewal date in accordance with clause 10.1.
4.4Each successful renewal extends access for the next billing period. Failed, reversed, disputed, paused, or canceled billing may affect access as described in these Terms.
5. Paddle orders, payment, tax, and receipts
5.1Paddle.com is the online reseller and Merchant of Record for orders. The Customer purchases through Paddle, by checkout or Paddle-issued invoice, while trueband licenses and delivers the software.
5.2Paddle calculates and collects applicable transaction taxes, processes payment, and issues the payment receipt or invoice. trueband does not receive or store payment-card details.
5.3Access is activated only after trueband receives and verifies Paddle's server notification. A browser confirmation page alone is not evidence of an active entitlement.
5.4The Customer must provide accurate billing, identity, country, and tax information to Paddle and keep payment details current.
6. License and designated workstation
6.1During an active paid term, trueband grants the Customer a limited, non-exclusive, non-transferable license to install and use Drift Watcher on one designated workstation for the Customer's internal professional purposes.
6.2Additional workstations require additional paid quantities, additional subscriptions, a Paddle-issued invoice, or written approval. A replacement-computer transfer is subject to trueband's approved license-transfer process.
6.3The Customer must not resell, sublicense, rent, distribute, publicly host, defeat entitlement controls, reverse engineer except where a non-waivable law permits it, or use the software to provide an unauthorized shared service.
6.4All rights not expressly granted are reserved by trueband and its licensors.
7. Accounts, devices, and offline access
7.1Customer access uses email-code sign-in and designated-device controls. The Customer is responsible for protecting access codes and for activity on authorized devices.
7.2First sign-in, entitlement renewal, device changes, and update retrieval require network access. A previously validated installation may continue under a stored entitlement for up to 14 days, bounded by the paid subscription term. Read-only access under clause 10.3 does not require network renewal.
7.3trueband may revoke sessions or withhold a new access lease where the subscription is not active, device limits are exceeded, or use materially breaches these Terms.
8. Delivery, updates, and support
8.1The annual subscription includes the current desktop application, software updates released during the paid term, email product support, one setup session of up to 60 minutes, and one review session of up to 30 minutes.
8.2Delivery remains subject to compatibility and release availability. Proprietary parsers, bespoke integrations, extensive data cleaning, calibration development, scientific consulting, and on-site training are quoted separately.
8.3Support targets are goals rather than guaranteed service levels unless a signed order states otherwise. Service-status and maintenance information may be published separately.
9. Customer responsibilities
9.1The Customer is responsible for system administration, backups, lawful data use, appropriate scientific review, and verifying outputs before relying on them.
9.2The Customer must use supported files and systems, maintain reasonable device security, install appropriate updates, and promptly report suspected unauthorized access.
9.3The Customer represents that it has the necessary rights to use all spectra, files, names, marks, and other materials it imports into the software.
10. Cancellation, expiry, and refunds
10.1The Customer may cancel future automatic renewal at any time before the renewal date through the Paddle customer portal or by emailing support@trueband.co. Cancellation prevents the next renewal and does not by itself create a refund for the current paid term.
10.2The Customer may request a full refund within 14 days of the initial purchase by contacting Paddle at paddle.net or by emailing support@trueband.co. Refunds are administered by Paddle. When a refund is issued, the related paid entitlement ends. This clause does not limit any mandatory refund right under applicable law.
10.3When a paid term ends without renewal, Drift Watcher continues in read-only mode. The Customer may view historical scans, investigations, actions, and reports created during the paid term, but cannot run new analyses, add monitors, or receive updates. trueband does not delete local workspace data at expiry.
10.4A chargeback, payment reversal, fraud concern, sanctions restriction, or material breach may result in suspension or termination, subject to applicable law and Paddle's processes.
11. Customer data and privacy
11.1Imported spectra, datasets, monitors, investigations, actions, and generated reports remain in the local application workspace unless the Customer deliberately exports or transfers them.
11.2trueband services process the minimum records needed for email-code sign-in, entitlement, designated-device control, support, and billing reconciliation. Paddle separately processes checkout and payment data under its privacy notice.
11.3Website inquiry and customer-service data are handled under the trueband Privacy Policy available at https://trueband.co/privacy. The Customer must review that policy before purchase.
12. Confidentiality and feedback
12.1Each party must use reasonable care to protect confidential information received from the other and use it only for the agreed relationship, except where disclosure is required by law or to an authorized service provider under appropriate duties.
12.2Confidential information does not include information lawfully public, independently developed, or lawfully received without a duty of confidence.
12.3The Customer may provide feedback. Unless separately agreed, trueband may use non-confidential feedback to improve its products without identifying the Customer.
13. Availability, warranties, and scientific boundaries
13.1trueband will provide the software with reasonable care and skill, subject to the documented compatibility requirements and the Customer's responsibilities.
13.2Except for express commitments in these Terms and rights that cannot be excluded, the software is provided as available. Results depend on the Customer's instruments, exports, methods, references, data quality, configuration, and professional review.
13.3No feature, similarity, score, association, visualization, or generated report is a substitute for validation, root-cause analysis, regulatory assessment, or a qualified person's decision.
14. Liability
14.1Nothing in these Terms excludes or limits liability for fraud, gross fault, or any other liability that cannot lawfully be excluded or limited.
14.2Decision-support tool. Drift Watcher is a diagnostic and review aid. Its alerts, scores, comparisons, visualizations, and reports are indicators for review by qualified personnel, not determinations. trueband is not responsible for decisions the Customer makes or fails to make based on, or despite, any output, including any missed, delayed, or false indication of drift, calibration change, instrument fault, or product-quality issue.
14.3Liability cap. To the extent permitted by law, trueband's total aggregate liability arising from or relating to these Terms or the software is limited to the fees paid by the Customer for the software in the 12 months before the event giving rise to the claim.
14.4Excluded losses. To the extent permitted by law, trueband is not liable for indirect, incidental, special, or consequential loss; loss of profit, revenue, business, or goodwill; or any loss arising from batch release or rejection, product recall, production or process decisions, laboratory results, or regulatory or audit action.
14.5Data. The Customer is responsible for maintaining independent backups. trueband's liability for loss or corruption of data is limited to the reasonable cost of restoring it from the Customer's most recent backup.
14.6Evaluations. Software provided under an evaluation is provided free of charge and as-is, and trueband has no liability for evaluation use except liability that cannot lawfully be excluded.
14.7Claim period. Any claim must be notified to trueband in writing within 12 months of the Customer becoming aware of the circumstances giving rise to it.
14.8The Customer remains responsible for scientific and quality decisions, method validation, regulatory obligations, and the consequences of using or interpreting its data.
15. Suspension and termination
15.1trueband may suspend access where reasonably necessary to protect security, prevent unlawful or abusive use, respond to a Paddle billing status, enforce device limits, or comply with law.
15.2Either party may terminate for a material breach that remains uncured 30 days after written notice describing the breach. trueband may terminate immediately on written notice for a breach of clause 6.3.
15.3Provisions intended by their nature to survive termination, including ownership, confidentiality, accrued payment obligations, liability, and dispute terms, continue after termination.
16. Changes to the product or Terms
16.1trueband may improve, replace, or discontinue features while seeking to preserve the core purchased purpose during a paid term. Material adverse changes require the notice or remedy mandated by applicable law.
16.2Updated Terms apply from the stated effective date. Changes that materially affect an active subscription will be communicated by email to the Customer's account address at least 30 days before they take effect.
17. General provisions
17.1Neither party is liable for delay caused by events beyond its reasonable control, except for payment obligations already due.
17.2The Customer may not assign these Terms without trueband's prior written consent, except where applicable law requires otherwise. trueband may assign them as part of a genuine business transfer, including to a company established by the supplier, subject to applicable law.
17.3If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A delay in enforcement is not a waiver.
17.4These Terms, the applicable Paddle checkout or order, and policies expressly incorporated by reference form the entire agreement about the subscription, unless a signed order states otherwise.
18. Governing law and disputes
18.1These Terms are governed by the laws of the Arab Republic of Egypt.
18.2Before starting proceedings, a party must notify the other in writing and both parties must attempt in good faith to resolve the dispute for 30 days. Unresolved disputes are subject to the jurisdiction of the competent courts of Cairo, Egypt, without prejudice to any mandatory consumer forum rights.
18.3A Customer should first contact trueband using the details below so the parties can try to resolve a concern promptly. Billing, cancellation, and refund questions may also be handled through Paddle's buyer-support channels.
